Terms of Service

These Terms of Service ("Terms") govern your access to and use of CaddiePool (the "Service"), a web-based software application operated by Center Hill Software LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

CaddiePool is a web-based software application that enables users to organize, manage, and participate in golf pick'em and "one-and-done" style pools. The Service is provided for informational, organizational, and entertainment purposes only.

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

To access certain features, you may be required to create an account. You agree to:

• provide accurate, current, and complete information;
• keep your account information up to date; and
• maintain the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account.

Users may create or participate in pools governed by rules defined by the pool organizer ("Commissioner").

Commissioners are solely responsible for:

• establishing pool rules, scoring methods, entry fees (if any), and prizes;
• communicating rules clearly to participants; and
• ensuring compliance with applicable laws.

The Company does not administer pools, enforce rules between users, determine winners, or resolve disputes between participants.

If the Company offers paid features or subscriptions, you agree to pay all applicable fees as disclosed at the time of purchase.

Payments are processed by third-party payment processors (such as Stripe). The Company does not store full payment card numbers.

Unless otherwise required by law or explicitly stated at checkout:

• fees are non-refundable; and
• unused time or features are not credited.

The Company reserves the right to modify pricing with reasonable notice.

The Service is not a sportsbook, bookmaker, wagering operator, or gambling service. The Company does not:

• set betting lines or odds;
• accept wagers or stakes;
• determine payouts; or
• hold or transfer money on behalf of users.

The Service may display sports-related data, including odds, probabilities, projections, or similar information, that is provided by third-party data sources for informational and entertainment purposes only. Such data is not generated, controlled, or verified by the Company and may be delayed, inaccurate, incomplete, or unavailable.

The display of third-party sports data does not constitute gambling, wagering, or odds-making by the Company. Users are solely responsible for how they interpret and use any information displayed in the Service and for complying with all applicable laws.

The Service may rely on or integrate with third-party services, data providers, or APIs. The Company does not control these third parties and is not responsible for their availability, accuracy, or actions.

Your use of third-party services may be subject to separate terms and policies.

You agree not to:

• use the Service for unlawful purposes;
• attempt to gain unauthorized access to the Service or related systems;
• scrape, reverse engineer, or interfere with the Service;
• upload malicious code;
• harass, impersonate, or abuse other users; or
• use non-public aspects of the Service to build or assist a competing product.

The Company may suspend or terminate accounts for violations.

The Service, including its software, design, text, graphics, and logos, is owned by the Company or its licensors and is protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service.

You may submit content such as pool names, messages, and picks ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, display, and process such content solely to operate and improve the Service.

You represent that you have the rights necessary to submit User Content.

The Company may maintain internal analytics and audit logs (including events such as page views, pick submissions, lock events, and billing-related activity) for purposes of:

• operating and improving the Service;
• debugging and performance monitoring;
• security and fraud prevention; and
• compliance and recordkeeping.

Access to administrative analytics is restricted and monitored.

You may stop using the Service at any time. The Company may suspend or terminate your access if you violate these Terms, create security risk, or for operational reasons.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Company does not guarantee uninterrupted availability, error-free operation, or the accuracy of third-party data.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
• ONE HUNDRED DOLLARS ($100).

You agree to indemnify and hold harmless the Company from any claims arising out of your use of the Service, your pools, your violation of these Terms, or your violation of applicable law.

The Company may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of the Service constitutes acceptance.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Exclusive venue for disputes shall be the state or federal courts located in Tennessee.
